CASE CASSIOPEA acted as exclusive financial adviser to a private investor on the successful voluntary public takeover offer for ALBIS Leasing AG
ALBIS Leasing AG (“ALBIS Leasing” or the “Company”), founded in 1986 and headquartered in Hamburg, Germany, specializes in providing leasing and financing solutions tailored for small and medium-size enterprises. Operating independently of banks and manufacturers, the company offers a range of services, including leasing, hire purchase, and rental agreements. The services cater to various sectors such as e-bikes and bicycles, forestry and garden technology, catering supplies, business equipment, IT and office machines, warehouse logistics, machinery and technology, and workshop equipment.
The Company is listed on the regulated market of the Frankfurt am Main and the Munich stock exchanges, as well as in the open market of other exchanges. Our Client, Rolf Hauschildt, is one of the anchor shareholders af ALBIS Leasing with a shareholding of just below 30% prior to his voluntary public takeover offer (“Offer”). Seeking to financially participate in the long-term value appreciation of ALBIS Leasing on one hand, and to ensure continuity and stability for the Company on the other, our Client decided to make a voluntary public takeover offer to the remaining shareholders. The offer price of EUR 2.80 translated in a market capitalisation of c. EUR 60m and included an attractive premium of 12% over the minimum price set by BaFin and c. 18% over the three-month volume weighted average price.
The Offer was well received by the Management and Supervisory Boards of ALBIS Leasing who published a supportive joint statement. During the acceptance period approximately 4.7m shares were tendered, increasing our Client’s shareholding to c. 52%.
Our Client is highly satisfied with the outcome of the Offer and is looking forward to further supporting the implementation of the Management’s strategy for ALBIS Leasing.
This transaction marks another seamless cooperation between CASE CASSIOPEA as exclusive financial adviser and ABN AMRO, which provided settlement and financing services to the Client.
